1. Acceptance of Terms
By accessing or using the Legal Brain platform ("Platform"), including the website at legalbrain.com.au and the application at app.legalbrain.com.au, you ("User", "you") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you must not use the Platform.
The Platform is operated by Market Lead Pty Ltd ("Company", "we", "us", "our"), a company registered in Victoria, Australia.
2. Description of Service
Legal Brain is an AI-powered legal research assistant designed for Australian legal professionals. The Platform provides:
- AI-assisted legal research with citation verification
- Document analysis and management
- Matter management and organisation
- AustLII and legislation database integration
- PII anonymisation and data privacy features
- Related legal productivity tools
3. Important Disclaimers
3.1 Not Legal Advice
THE PLATFORM DOES NOT PROVIDE LEGAL ADVICE. All information, research results, citations, analyses, and outputs generated by the Platform are provided for informational and research assistance purposes only. The Platform is a tool to assist qualified legal professionals in their work. It is not a substitute for professional legal judgment, independent legal research, or the advice of a qualified legal practitioner.
3.2 No Solicitor-Client Relationship
Use of the Platform does not create a solicitor-client relationship, attorney-client relationship, or any other professional relationship between you and Legal Brain, Market Lead Pty Ltd, or any of its officers, employees, or affiliates.
3.3 AI Limitations
While Legal Brain employs citation verification, multi-layer review systems, and confidence scoring to maximise accuracy:
- AI-generated outputs may contain errors, omissions, or inaccuracies.
- Citations and legal references, even when marked as "verified", must be independently confirmed by the User before reliance in any legal proceeding, advice, or document.
- The Platform's outputs may not reflect the most current state of the law, recent amendments, or unpublished decisions.
- Users bear sole responsibility for verifying all information obtained through the Platform before acting on it or providing it to clients.
3.4 Professional Responsibility
Users acknowledge that they remain fully responsible for their professional obligations, including but not limited to duties of competence, confidentiality, and diligence. The use of AI tools does not diminish or transfer any professional duty owed by the User to their clients, courts, or regulatory bodies.
4. User Eligibility and Accounts
- The Platform is intended for use by legal professionals, law students, and authorised business users in Australia.
- You must be at least 18 years of age to use the Platform.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must not share your account with unauthorised persons.
- You must provide accurate and current information when registering.
- We reserve the right to suspend or terminate accounts that violate these Terms.
5. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations.
- Attempt to reverse-engineer, decompile, disassemble, or derive the source code of the Platform's AI systems, algorithms, or proprietary technology.
- Attempt to extract, copy, or scrape the Platform's knowledge base, system prompts, or proprietary data.
- Circumvent, disable, or interfere with any security features of the Platform.
- Use automated tools, bots, or scripts to access the Platform except as expressly authorised.
- Transmit any malicious code, viruses, or harmful content through the Platform.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Use the Platform to generate content that is defamatory, harassing, threatening, or otherwise objectionable.
- Resell, sublicense, or commercially redistribute the Platform or its outputs without our prior written consent.
6. Intellectual Property
6.1 Our Intellectual Property
The Platform, including its design, code, algorithms, knowledge base, branding, and documentation, is the intellectual property of Market Lead Pty Ltd and is protected by Australian and international intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited licence to use the Platform as described herein.
6.2 Your Content
You retain ownership of all documents, data, and content you upload to or create using the Platform ("User Content"). By using the Platform, you grant us a limited, non-exclusive licence to process your User Content solely for the purpose of providing the Platform's services to you. We will not use your User Content for any other purpose, including training AI models.
6.3 Platform Outputs
You may use outputs generated by the Platform (research results, memos, presentations, diagrams) in your professional work. However, these outputs are generated using AI and are provided "as is" without any warranty of accuracy or completeness.
7. Privacy and Data Protection
Our collection and use of your personal information is governed by our Privacy Policy, which forms part of these Terms. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- The Platform is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement.
- We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of harmful components.
- We do not warrant the accuracy, reliability, completeness, or timeliness of any information, research results, citations, or outputs provided by the Platform.
- In no event shall Market Lead Pty Ltd, its directors, officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, revenue, goodwill, data, business opportunities, or other intangible losses, arising out of or in connection with your use of or inability to use the Platform, even if we have been advised of the possibility of such damages.
- Our total aggregate liability for any claims arising out of or relating to these Terms or the Platform shall not exceed the amount you have paid us (if any) in the 12 months preceding the claim.
- Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or other applicable mandatory consumer protection legislation.
9. Indemnification
You agree to indemnify, defend, and hold harmless Market Lead Pty Ltd and its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Platform.
- Your violation of these Terms.
- Your reliance on any information or outputs generated by the Platform.
- Any claim by a third party arising from your use of Platform outputs in professional work.
- Your violation of any applicable law or regulation.
10. Service Availability and Modifications
- We reserve the right to modify, suspend, or discontinue the Platform (or any part thereof) at any time, with or without notice.
- We may update features, change pricing, or alter functionality as the Platform evolves.
- We will make reasonable efforts to notify you of material changes that affect your use of the Platform.
- We shall not be liable for any modification, suspension, or discontinuation of the Platform.
11. Termination
We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:
- Your right to use the Platform ceases immediately.
- We may delete your account data after a reasonable retention period (currently 30 days), unless retention is required by law.
- Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 3, 6, 8, 9, and 13.
12. Third-Party Services
The Platform integrates with third-party services including AI processing providers, AustLII (legal databases), and infrastructure providers. Your use of these third-party services is subject to their respective terms and conditions. We are not responsible for the content, privacy practices, or operations of any third-party services.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Victoria, Australia. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia.
Before commencing legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of not less than 30 days.
14. General Provisions
- Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Platform.
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
- Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
- Force majeure: We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control.
15. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting a notice on the Platform or by email. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms. If you do not agree with any changes, you must stop using the Platform.
